Sr. Manager, Compliance

POSITION SUMMARY/PURPOSE

Responsible for the management, strategy, and coordination of risk management/compliance infrastructure for the organization.  Serves as a compliance advisor to DENSO TEN AMERICA Limited and related affiliates.   This position will be responsible for identifying risks within the business and developing, maintaining, and implementing policies and procedures, training, and controls to ensure DENSO TEN is operating effectively and in accordance with applicable laws, regulations, and internal requirements.  This role is also responsible for coordinating all legal related activities including contract review/management.

 

OVERVIEW: KEY JOB DUTIES/RESPONSIBILITIES

KEY JOB DUTIES/RESPONSIBILITIES

1. Proactively work with DENSO TEN's locations, functional groups and departments to identify risk areas and develop tools to drive compliance within the organization.

2. Oversees and leads cross functional compliance/standards committee to establish/maintain key controls to improve effectiveness and ensure compliance with regulatory obligations and internal procedures.

3. Develop, implement, and maintain companywide online system to create, revise and approve policies, procedures, standards, and related management system documentation.

4. Establish compliance related training methodology to ensure compliance to, and training is in line with DENSO TEN's strategies, applicable laws, regulations, and industry requirements.

5. Create and implement a companywide on-line compliance reporting system to allow linkage/access to and verification of compliance obligations.

6. Conduct risk assessments of compliance status/results to determine whether procedures are being followed and lead remediation efforts.

7. Investigate suspect compliance violations, which includes conducting interviews with related parties, review of confidential documents to determine potential policy violations, and recommended discipline and/or actions in accordance with established company HR policies.

8. Develop and implement overall risk management policies, procedure, and forms in line with corporate direction to identify any/all business risks.  Facilitate the risk management process as required across company including assisting improvement activities with functional groups and departments.

9. Coordinate legal activities for the company to ensure all compliance matters have identified/adequate legal support required to maintain compliance.  This involves maintaining a Company Legal Counsel List of related legal entities, including up to date service agreements.

10. Lead contract review coordination process with internal and external legal partners.  This includes maintaining company contract review policy and improvement of contract database to allow for proper management of contracts status (review, active, renew, obsolete, etc.)

11. Act as Legal coordinator for issues that require special support – bring in and support selection of subject matter experts as required to resolve and provide solutions for complex issues.

12. Window person to corporate legal function(s) on matters that impact multiple entities within the company such as intellectual property matters and coordinate internal support as needed.  This also includes budgetary considerations for legal support and/or settlements as applicable.

13. Develop and maintain compliance, risk management and legal activity related reports/presentations and develop implement KPI's or monitoring tools in key risk areas.

14. Perform other duties as assigned by leadership of assigned function group/department.

SUPERVISORY RESPONSIBILITY

Supervise a team of compliance professional(s) including but not limited to leading cross functional committees/teams.  Provide direction and facilitate engagement with all functional groups and departments involved with compliance, risk management and legal/regulatory activities.

 

EDUCATION

  • Bachelor of Science (BS) in Business, Engineering or Technical Discipline.
  • Para-Legal or other Legal training a plus.

 

EXPERIENCE

Minimum of 7 years leadership experience in Compliance, Risk Management and/or legal/regulatory related activities.   Broad and deep knowledge across various disciplines of business such as:  Engineering, Regulatory Compliance, Risk Management, Contract Review, Management System Development.  Experience in building and effectively managing the administrative infrastructure of organizations, as well as experience with project management or governance.

Preferred Qualifications

  • Paralegal degree, training, contract review or other legal experience a plus.
  • Experience working in Automotive or Global Engineering and Manufacturing companies a plus. 
  • Accountable with internal customer service-orientation.
  • Self-starter with strong initiative, communications, and business sense.
  • Proficient in MS suite including ability to generate PPT presentations and utilize excel to create and share data and metrics.
  • Share Point proficiency and experience a plus.

LICENSES/CERTIFICATIONS- REQUIRED

Certified Compliance & Ethics Professional (CCEP) certification or equivalent training/experience. 

 

SKILLS & ABILITIES- OTHER

LANGUAGE SKILLS:

Ability to read, analyze, and interpret common scientific and technical journals, financial reports, and legal documents.  Ability to respond to common inquiries or complaints from customers, regulatory agencies, or members of the business community.  Ability to write communications for internal publication that conform to prescribed style and format. Japanese Language (speak, read and write) skills a plus.

MATH ABILITY

Ability to apply advanced mathematical concepts such as exponents, logarithms, quadratic equations, and permutations. Ability to apply mathematical operations to such tasks as development of key metrics, frequency distribution, determination of test reliability and validity, analysis.

REASONING ABILITY:

Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to interpret an extensive variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables.  Capability to synergize, create and lead a balance of operations and project based solutions to support risk/compliance challenges.
